IRVINE, Calif., Jan. 16 (Reuters) - Premier Laser Systems
on Friday said it has proposed acquiring the remaining 2.7
million shares of Ophthalmic Imaging Systems Inc it does not
already own for $1.75 per share in a friendly transaction.Under the proposal, Ophthalmic Imaging must modify its
shareholder rights plan to permit the transaction to proceed.
The all cash deal represents about a 30 percent premium to
Ophthalmic Imaging's current share price.
The offer will be withdrawn if it is not accepted by 2000
EST/1700 PST on Thursday, Jan. 22, Premier Laser said.
